Description

Agreement between Charles Raleigh Knight of 36 Montague Square co. Middx. esq. and the Rev. H.C. Knight of Leamington clerk, reciting an indenture of even date (DR 225/36), whereby John Bullar and W.F. Beadon conveyed to the said H.C. Knight for £24,071.15s.5d. certain lands and hereditaments in Ullenhall, Henley-in-Arden and Wootton Wawen, and that the said lands and hereditaments were contracted to be sold free of land tax (except annual land tax of 14s. payable for part of Moat House farm and of £4.2s.4d. payable for part of Henley farm), but upon investigation of the title it was objected that evidence of the complete extinguishment of such land tax had not been furnished. As H.C. Knight and C.R. Knight were entitled to equal beneficial interests in the monies arising from such sale, and as H.C. Knight had agreed to withdraw his objection on being indemnified by C.R. Knight against any claim or demand of land tax to the extent of one half, and C.R. Knight had agreed to give such an undertaking, it was then witnessed that in consideration of 10s. paid by H.C. Knight the said C.R. Knight agreed that, if any time thereafter any claim was made on H.C. Knight for any land tax or equivalent charge on any of the scheduled lands and hereditaments (with the two exceptions noted), he would indemnify him against any such tax, and from any costs or damages attending the same, to the extent of one half part.
